The rules of our partnership.

By accessing or using the Quantum Connect AI platform, website, and any associated services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the Terms, you may not access the Service.

Quantum Connect AI offers a comprehensive automation and CRM intelligence platform that includes data access and analytics, human personalized support, API integrations, lead generation and acquisition, intelligent automations, conversational AI, and funnel and workflow building tools.

Core Features Include:

• Voice AI agents for inbound and outbound calls
• CRM intelligence with deep integrations and full data access
• SMS automation (regular and blue iMessage), email automation, and call automation
• Lead generation, acquisition, and workflow automation tools
• Funnels, websites, forms, widgets, dashboards, and custom integrations
• Marketing management, social media, and reputation management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice. Quantum Connect AI is not liable to you or any third party should it exercise such rights for legitimate business purposes.

The Service requires payment of fees through a subscription model. Features, limitations, and pricing for each plan are detailed on our website and in your subscription agreement.

Payment Terms:

• Subscription fees are billed monthly in advance based on your selected plan
• Setup fees are one-time charges and non-refundable
• Voice AI usage is billed at $0.09 per minute for active conversation time
• Additional services may be subject to usage-based fees as outlined in your plan
• Plans are month-to-month with no long-term contracts required

By subscribing to our paid services, you authorize us to charge your payment method for subscription fees and usage charges. We may adjust pricing for our services with at least 30 days notice to current subscribers before price changes take effect.

As a user of the Service, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations, including TCPA and A2P compliance
• Use the Service only for lawful business purposes
• Not misuse, abuse, or attempt to gain unauthorized access to the Service

Your data is yours. We provide full access to your data and do not lock anything away. Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We collect, use, and protect your data in accordance with applicable privacy laws and regulations. You retain all ownership rights to your customer data, and we will not use your data for any purpose other than providing the Service to you.

The Service and its original content, features, and functionality are owned by Quantum Connect AI, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our proprietary content without our express written permission.

To the maximum extent permitted by law, Quantum Connect AI, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

You may cancel your subscription at any time through your account dashboard. Upon cancellation, your access to paid features will continue until the end of your current billing period.

All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Ada County, Idaho.

We maintain a written information security program aligned to the FTC Safeguards Rule and the NIST Cybersecurity Framework, covering tenant isolation, identity and access control, encryption in transit and at rest, secure delivery, logging and monitoring, vendor oversight, and incident response. • Data is classified before processing. Highly restricted data, including social security numbers, credit applications, payment card data, banking information, and driver license images, is not collected or processed through marketplace or AI messaging workflows.
• Each dealer group and rooftop is treated as a distinct tenant. Data, access, credentials, workflows, and audit records stay inside the correct dealer boundary.
• You are responsible for your own network, physical site security, marketplace and CRM account administration, user permissions, and for routing finance, payment, identity, and document requests to a trained employee or your approved secure workflow.
• You must promptly report suspected incidents, lost appliances, compromised credentials, or unauthorized activity.

Where we deploy a QConnect appliance at your site, it remains our property and is administered by us. It is a single-purpose appliance with outbound-only encrypted connectivity, unique device identity, and no public inbound access, and it may not be modified, reimaged, cloned, relocated, or used as a gateway or remote access relay. You provide a physically secure location, a segmented vendor or IoT network or an independent cellular connection, and reasonable access for installation, maintenance, and removal.

We may revoke a device certificate, invalidate its tokens, and place an appliance in a non-operational state when compromise, misuse, or a policy violation is suspected. Full terms, including return and decommissioning, are on the QConnect appliance terms page and apply to every deployment.

Our AI assistant operates inside the policy, knowledge, and tool access you approve. Higher-risk actions, unusual messaging, pricing changes, bulk messages, data exports, and commitments outside policy require human approval or escalate to your team.

• AI inputs, tool calls, responses, CRM activity, policy blocks, escalations, and human overrides are recorded for audit.
• AI output may contain errors. You remain responsible for reviewing customer commitments, pricing, availability, and any disclosure required by law in your jurisdiction.
• AI conversations are not a substitute for a licensed finance, legal, or compliance process, and the assistant will route those requests to your team.

Quantum Connect AI, LLC operates two text messaging programs. The non-marketing program sends working session confirmations, appointment reminders, pilot onboarding and implementation updates, support follow-ups, account notifications, connector alerts, and platform service updates. The marketing program sends product announcements, demonstrations, automotive technology updates, and occasional offers.

• Enrollment is by explicit opt-in only, captured through an unchecked checkbox that names the program you are joining.
• Message frequency varies. Message and data rates may apply.
• Reply STOP to any message to stop receiving messages from that program. Reply HELP for help.

• Carriers are not liable for delayed or undelivered messages.
• Consent to receive text messages is not a condition of any purchase.
• Supported carriers may change without notice, and service availability depends on your carrier and device.

We record consent evidence for every opt-in, including the timestamp, disclosure version, source page, IP address, and user agent. You can review the disclosures and manage your preferences on the SMS consent page, and see how mobile data is handled in the Privacy Policy.

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically.
