This document and all information in it are confidential and proprietary to Quantum Connect AI LLC ("Quantum"). This includes, without limitation, all text, designs, diagrams, software architecture, source code references, workflows, product concepts, agent designs (including Hannah), processes, methods, specifications, pricing, business plans, and trade secrets (the "Confidential Information").

Restricted use. This document is provided only to the named recipient(s) and only to evaluate or perform authorized work for Quantum under a written agreement. It may not be used for any other purpose, including to develop, train, improve, or market any competing product, service, or AI model.

No reproduction or disclosure. No part of this document may be copied, reproduced, distributed, forwarded, published, disclosed, modified, translated, reverse engineered, or used to create derivative works, in whole or in part, in any form or by any means, without the prior written consent of an authorized officer of Quantum.

Ownership. All Confidential Information, and all work product, improvements, and derivative works created from or based on it, remain the exclusive property of Quantum unless a signed written agreement states otherwise. Receipt of this document grants no license, ownership, or other right, express or implied, under any copyright, patent, trademark, trade secret, or other intellectual property right.

Trade secrets. This document contains trade secrets protected under the Defend Trade Secrets Act (18 U.S.C. § 1836 et seq.), the Idaho Trade Secrets Act, and other applicable law. The recipient must protect it with at least reasonable care.

Remedies. Unauthorized use or disclosure may cause Quantum irreparable harm for which money damages would be inadequate. Quantum reserves the right to seek injunctive relief, damages, attorneys' fees, and all other remedies available at law or in equity.

Return or destroy. On request, or when the permitted purpose ends, the recipient must promptly return or permanently destroy all copies and confirm this in writing.

Successors and assigns. These protections apply to and benefit Quantum Connect AI LLC and its successors and assigns, including any corporation into which it converts, merges, or reorganizes, such as a C-corporation expected to be named Quantum Connect AI, Inc. or a substantially similar name (a "Successor"). On any such conversion or reorganization, all rights, title, and interest in the Confidential Information, and all obligations owed by any recipient, continue in full force and are enforceable by the Successor to the same extent as by Quantum Connect AI LLC.

Received in error. If you received this document in error, notify the sender immediately and permanently delete or destroy all copies. Any unauthorized review, use, or disclosure is strictly prohibited.

This notice does not limit any separate signed agreement, such as a non-disclosure agreement. Where such an agreement gives Quantum greater protection, that agreement controls.

Technology, software and content owned by partners, vendors, customers or open-source projects remain the property of their owners and stay subject to their own license and attribution terms. This notice does not claim ownership of them.
